Terms of Service

Introduction

These Terms of Service ("Agreement") is entered into by and between you ("Customer") and Memeto AB ("Memeto", "we", "us" or "our"). By accessing or using our services, including AI-driven chatbots and related software (the "Services"), you agree to be bound by this Agreement.

If you are accepting this Agreement on behalf of your employer or another entity, you represent that you have the authority to bind that entity and references to "you" or "Customer" include that entity.

1. Definitions

  • "Services": All offerings provided by Memeto under this Agreement.
  • "Order Form": Any ordering document, registration, or confirmation referencing this Agreement.
  • "Customer Data": Data provided or uploaded by Customer to use with the Services.
  • "Users": Your employees or contractors authorized to use the Services.

2. Services and License

Subject to your compliance with this Agreement and payment of applicable fees, Memeto grants you a limited, non-exclusive, non-transferable right to access and use the Services during the subscription term for your internal business purposes.

3. Subscription and Fees

You agree to pay the fees specified in your Order Form. Unless otherwise stated, fees are due within thirty (30) days of invoice date. Subscriptions automatically renew for successive terms unless canceled as set forth below.

4. Term and Termination

The term begins on the effective date (earlier of your first use or the Order Form date) and continues until all subscriptions expire or are terminated. Either party may terminate for material breach if uncured within thirty (30) days of notice.

5. Intellectual Property

All rights, title, and interest in the Services and Memeto's technology remain with Memeto. Customer retains rights to Customer Data, and grants Memeto a license to use it to provide the Services.

6. Confidentiality

Each party agrees to protect the other’s confidential information with the same care it uses to protect its own, and not to use or disclose it except as necessary to perform under this Agreement.

7. Warranties and Disclaimers

Each party represents it has authority to enter this Agreement. EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS-IS" WITHOUT WARRANTY OF ANY KIND.

8. Limitation of Liability

IN NO EVENT WILL MEMETO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THIS AGREEMENT, AND MEMETO'S AGGREGATE LIABILITY WILL NOT EXCEED THE FEES PAID IN THE PRIOR TWELVE (12) MONTHS.

9. Governing Law

This Agreement is governed by the laws of Sweden, without regard to its conflict of laws rules.

10. Changes to Terms

We may update these terms from time to time. Continued use of the Services after changes constitutes acceptance. We will post the updated date at the top.
